Terms of Service

Rules and responsibilities for using the MenuNova platform.

Welcome to MenuNova. These Terms of Service ("Terms") govern your access to and use of MenuNova's digital restaurant management platform, including our website, digital menu system, admin dashboard, kitchen interface, and all related services (collectively, the "Platform"). By accessing or using MenuNova, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully before using our Platform. If you do not agree with any part of these Terms, you must not use MenuNova.

About MenuNova

MenuNova is a cloud-based Software-as-a-Service (SaaS) platform designed for restaurants, cafes, cloud kitchens, and food service businesses in India. Our Platform enables:

  • Digital Menu Management: Create and customize online menus with real-time updates
  • QR Code Ordering: Allow customers to scan, browse, and place orders directly
  • Admin Dashboard: Manage orders, update menu items, and monitor business activity
  • Kitchen Interface: Real-time order tracking and status management for kitchen staff
  • Multi-Restaurant Support: Isolated, secure environments for each restaurant tenant

MenuNova operates as a multi-tenant platform where each restaurant's data is logically separated and protected from other tenants.

User Roles & Responsibilities

MenuNova serves different types of users, each with specific rights and obligations:

Restaurant Owners/Administrators:

  • Responsible for creating and managing their restaurant account
  • Must provide accurate business information and maintain account security
  • Responsible for menu accuracy, pricing, and item availability
  • Must ensure compliance with local food safety and business regulations
  • Responsible for managing staff access and permissions
  • Must respond to customer orders in a timely manner

Kitchen Staff:

  • Access limited to order viewing and status updates
  • Must maintain confidentiality of order information
  • Responsible for accurate order status updates
  • Access credentials are managed by restaurant administrators

Customers:

  • May browse menus and place orders through the Platform
  • Must provide accurate order information and special instructions
  • Responsible for understanding restaurant-specific policies (delivery, cancellation, etc.)
  • Must not abuse the ordering system or engage in fraudulent activity

Account Registration & Security

Registration Requirements:

  • Restaurant accounts require a valid business name, email, and phone number
  • You must be at least 18 years old to create a restaurant account
  • All information provided during registration must be accurate and up-to-date
  • One business entity may not create multiple accounts without prior authorization

Account Security:

  • You are responsible for maintaining the confidentiality of your login credentials
  • You must notify us immediately of any unauthorized access to your account
  • MenuNova is not liable for losses resulting from unauthorized use of your account
  • We recommend using strong passwords and enabling two-factor authentication when available
  • Sharing account credentials is prohibited and may result in account suspension

Account Verification:

  • We reserve the right to verify the legitimacy of restaurant accounts
  • We may request business documentation (GST registration, FSSAI license, etc.)
  • Failure to provide verification may result in account suspension or termination

Payments & Pricing

Subscription Plans:

  • MenuNova offers monthly and annual subscription plans
  • Pricing is displayed on our website and may vary based on features and usage
  • All prices are in Indian Rupees (INR) and exclude applicable taxes (GST)
  • We reserve the right to modify pricing with 30 days' notice to existing subscribers

Payment Terms:

  • Subscriptions are billed in advance on a recurring basis
  • Payments are processed securely through Stripe (PCI-DSS compliant)
  • You authorize us to charge your designated payment method automatically
  • Failed payments may result in service interruption or account suspension
  • You must update payment information if your card expires or is replaced

Free Trial & Cancellation:

  • Free trial periods (if offered) do not require payment information unless stated
  • You may cancel your subscription at any time through your account dashboard
  • Cancellation takes effect at the end of the current billing cycle
  • No refunds are provided for partial subscription periods except as required by law
  • Upon cancellation, access to the Platform continues until the end of the paid period

Refund Policy:

  • Refunds are evaluated on a case-by-case basis for service issues
  • Refund requests must be submitted within 7 days of the charge
  • We do not provide refunds for dissatisfaction with features or change of mind
  • Platform downtime exceeding 5% uptime SLA may qualify for pro-rated credits

Data & Ownership

Your Data:

  • You retain ownership of all content you upload (menu items, descriptions, images)
  • You grant MenuNova a license to host, display, and process your content as needed to provide the Platform
  • You are responsible for ensuring you have rights to all content you upload
  • You must not upload content that violates intellectual property or other rights

Customer Order Data:

  • Order data belongs to the restaurant receiving the order
  • MenuNova processes order data as a service provider on behalf of restaurants
  • Restaurants are responsible for complying with data protection laws regarding customer data
  • You may export your order history and customer data at any time

MenuNova's Intellectual Property:

  • The Platform, including source code, design, features, and branding, is owned by MenuNova
  • You may not copy, modify, reverse engineer, or create derivative works of the Platform
  • "MenuNova" name, logo, and trademarks are protected intellectual property
  • These Terms do not grant you any rights to MenuNova's intellectual property

Data Portability:

  • You may export your menu data, orders, and customer information in CSV or JSON format
  • Export functionality is available through the admin dashboard
  • Upon account termination, data exports remain available for 30 days

Prohibited Use

When using MenuNova, you agree NOT to:

  • Violate Laws: Use the Platform for any illegal purpose or in violation of local, state, or national laws
  • Infringe Rights: Upload content that violates intellectual property, privacy, or other rights
  • Fraudulent Activity: Create fake accounts, submit fraudulent orders, or manipulate the Platform
  • Spam or Abuse: Send unsolicited messages, abuse customer contact information, or harass other users
  • Security Violations: Attempt to hack, breach security, or gain unauthorized access to the Platform
  • Data Scraping: Use automated tools to scrape or extract data from the Platform
  • Reverse Engineering: Attempt to decompile, disassemble, or reverse engineer any part of the Platform
  • Reselling: Resell or sublicense access to MenuNova without written authorization
  • Competitive Use: Use the Platform to build a competing product or service
  • False Information: Provide misleading menu descriptions, incorrect pricing, or deceptive business information
  • Harmful Content: Upload content that is offensive, hateful, violent, or discriminatory

Violation of these prohibitions may result in immediate account suspension or termination, and we may report illegal activity to law enforcement.

Platform Availability & Reliability

Service Level:

  • We strive to maintain 99.5% uptime but cannot guarantee uninterrupted service
  • Scheduled maintenance will be communicated in advance when possible
  • Emergency maintenance may occur without prior notice
  • Platform performance may vary based on internet connectivity and device capabilities

Service Interruptions:

  • MenuNova is not liable for losses resulting from downtime or service interruptions
  • Downtime caused by third-party services (hosting, payment processors) is outside our control
  • We will make reasonable efforts to restore service promptly
  • Status updates are posted at our support channels during outages

Data Backup:

  • We maintain daily encrypted backups of platform data
  • Backups are stored securely and separately from production systems
  • While we back up data, you are encouraged to maintain your own local copies

Limitation of Liability

To the maximum extent permitted by law, MenuNova and its affiliates, employees, and service providers shall not be liable for:

  • Indirect Damages: Lost profits, revenue, savings, business opportunities, or goodwill
  • Data Loss: Loss or corruption of data, except as caused by our gross negligence
  • Service Interruption: Damages resulting from platform downtime or unavailability
  • Third-Party Actions: Actions of customers, other users, or third-party service providers
  • User Content: Harm caused by content uploaded by restaurant accounts
  • Unauthorized Access: Damages from account breaches if you failed to maintain security

Maximum Liability: Our total liability to you for any claims arising from your use of MenuNova shall not exceed the amount you paid us in the 12 months preceding the claim, or ₹10,000 INR, whichever is less.

Disclaimer of Warranties: MenuNova is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Indemnification

You agree to indemnify, defend, and hold harmless MenuNova, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Platform
  • Violation of these Terms or applicable laws
  • Content you upload or transmit through the Platform
  • Violation of third-party rights, including intellectual property or privacy rights
  • Your restaurant's operations, food safety, or customer interactions
  • Disputes with customers or other users

This indemnification obligation survives termination of your account and these Terms.

Termination

Termination by You:

  • You may cancel your subscription at any time through your account dashboard
  • Cancellation takes effect at the end of the current billing period
  • You may request account deletion by contacting support
  • Upon deletion, your data is permanently removed within 30 days

Termination by MenuNova:

  • We may suspend or terminate your account immediately if you violate these Terms
  • We may terminate accounts for fraudulent activity, payment failure, or illegal use
  • We may terminate any account at our discretion with 30 days' notice and pro-rated refund
  • We reserve the right to refuse service to anyone for any lawful reason

Effects of Termination:

  • Your access to the Platform will be immediately revoked
  • Outstanding payments become due immediately
  • Your data remains available for export for 30 days, then is permanently deleted
  • Provisions regarding liability, indemnification, and dispute resolution survive termination

Changes to Terms

We may update these Terms periodically to reflect changes in our Platform, legal requirements, or business practices. When we make material changes:

  • We will update the "Last Updated" date at the top of this page
  • We will notify you via email at least 15 days before changes take effect
  • We will post a notice in your admin dashboard
  • Continued use of MenuNova after changes take effect constitutes acceptance

If you do not agree with updated Terms, you must stop using the Platform and may cancel your subscription for a pro-rated refund of any prepaid fees.

Governing Law & Dispute Resolution

Governing Law:

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of MenuNova shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

Dispute Resolution:

  • Informal Resolution: Before filing a legal claim, you agree to contact us at legal@menunova.me to attempt to resolve the dispute informally
  • Negotiation Period: We will work in good faith to resolve disputes within 30 days
  • Arbitration: If informal resolution fails, disputes may be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996
  • Class Action Waiver: You agree to resolve disputes individually and waive participation in class actions or collective proceedings

Exceptions:

Either party may seek injunctive relief in court to protect intellectual property rights or prevent unauthorized access to the Platform, without first attempting informal resolution.

General Provisions

Entire Agreement:

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MenuNova regarding use of the Platform, superseding any prior agreements.

Severability:

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver:

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment:

You may not assign or transfer these Terms or your account without our written consent. MenuNova may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure:

MenuNova is not liable for failure to perform obligations due to events beyond our reasonable control, including natural disasters, war, strikes, internet outages, or government actions.

Third-Party Services:

The Platform integrates with third-party services (payment processors, hosting providers, analytics). Your use of such services is subject to their respective terms and policies.
